Terms of Service

1. Our Services

Knowlee provides artificial intelligence-based tools, APIs, and related technologies designed to assist with knowledge retrieval, data analysis, and other functionalities. The Services are subject to these Terms and are not intended for use in jurisdictions where such use would violate applicable laws.

You are responsible for complying with all applicable laws, including any industry-specific regulations relevant to your use.

2. Registration & Account Security
  • You must be at least 13 years old to use the Services. If under 18, you need permission from a parent or legal guardian.
  • You must provide accurate, current, and complete information during registration, and keep it updated.
  • You are responsible for maintaining the confidentiality of your account credentials and all activities under your account. Notify us promptly of any unauthorized use.
  • Sharing access outside your organization is prohibited unless expressly permitted by Knowlee.
3. User Representations
  • You have the legal capacity and authority to agree to these Terms.
  • Your use of the Services does not violate any applicable law or regulation.
  • All information you provide is true, accurate, and up-to-date.
4. Use of the Services & Restrictions
  • You are granted a non-exclusive, non-transferable license to access and use the Services for internal business purposes.
  • Do not misuse the Services. This includes reversing engineering, circumventing security measures, or using the Services for unlawful, harmful, or fraudulent activities.
  • We are not responsible for third-party products or services integrated with the Services.
5. Content Ownership & Licenses
  • You retain ownership of any data, text, images, or other materials ("Input") you provide. By providing Input, you grant Knowlee a worldwide, royalty-free license to use, process, and modify it to operate and improve the Services.
  • You own the generated output ("Output"), except where it contains Knowlee’s proprietary information or violates applicable law. Outputs may resemble those provided to other users.
  • We may use anonymized and aggregated data for product improvement and analytics, subject to our Privacy Policy.
  • All intellectual property rights in the Services, including trademarks and copyrighted material, remain with Knowlee.
6. Fees & Payments
  • Certain features may require payment of subscription or usage fees.
  • BY PURCHASING A SUBSCRIPTION, YOU AUTHORIZE KNOWLEE TO INITIATE RECURRING NON-REFUNDABLE PAYMENTS.
  • ONCE A TRANSACTION IS COMPLETE YOUR PURCHASE IS FINAL AND YOU WILL NOT BE ABLE TO CANCEL OR RECEIVE A REFUND OF YOUR SUBSCRIPTION FEE. We reserve the right to cancel your transaction and refund you if something unexpected occurs. Otherwise, no refunds are provided for the current subscription period.
  • You can cancel your subscription at any time. Your subscription will remain active until the end of the current billing period, then terminate without further charges.
  • You are responsible for all applicable taxes associated with the Services.
  • We may change fees at any time with notice. Continued use after a fee change constitutes acceptance of the new fees.
  • Report billing issues promptly for investigation.
7. Confidentiality, Security & Data Protection
  • Maintain confidentiality of any non-public information obtained through the Services.
  • Use the Services securely and report vulnerabilities promptly. We employ security measures but cannot guarantee absolute protection.
  • Adhere to data protection laws when processing personal data. Our Privacy Policy explains how we handle personal information.
8. Feedback

Any suggestions or feedback you provide are voluntary. Knowlee may use such feedback without obligation or compensation to you.

9. User Generated Content & Contributions
  • If you post content through the Services, you represent that you have the rights to do so and that it does not violate any law or third-party rights.
  • We may review and remove content that violates these Terms or applicable law, but we are not obligated to do so.
  • We are not responsible for user-generated content, including errors or infringements it may cause.
10. Privacy Policy

Use of the Services is governed by our Privacy Policy, which describes how we collect, use, and disclose personal information.

11. Cancellation & Refund Policy
  • You may cancel your subscription at any time. If you do, your access continues until the end of the current billing period.
  • EXCEPT AS SET FORTH ABOVE WITH RESPECT TO YOUR INITIAL SUBSCRIPTION PURCHASE, NO REFUNDS ARE PROVIDED.
  • Nothing in these Terms limits your statutory rights.
12. Termination & Suspension
  • We may terminate or suspend your access for violation of these Terms or unlawful activity.
  • Upon termination, you must cease using the Services. We may retain data as required by law or for business purposes.
13. Third-Party Services & Content

We may integrate with third-party content or services. We are not responsible for their accuracy, legality, or appropriateness. Your use of third-party services is at your own risk and subject to their terms.

14. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind. Knowlee disclaims all warranties, including merchantability, fitness for a particular purpose, and non-infringement. Use the Services at your own risk.

15. Limitation of Liability
  • Knowlee and its affiliates are not liable for indirect, incidental, consequential, special, or punitive damages.
  • Our total liability shall not exceed the amount you paid for the Services in the last six (6) months or $100, whichever is greater.
  • Some jurisdictions do not allow limitations, so these may not apply to you.
16. Indemnification

You agree to defend, indemnify, and hold Knowlee harmless from any claims arising out of your violation of these Terms or misuse of the Services.

17. Intellectual Property

All intellectual property rights remain with Knowlee or its licensors. Nothing herein transfers such rights to you, except the limited licenses granted by these Terms.

18. Dispute Resolution

These Terms and any action related thereto will be governed by the Federal Arbitration Act, federal arbitration law, and the laws of the State of Delaware, without regard to conflict of laws provisions.

Except as otherwise set forth in this section, the exclusive jurisdiction for disputes not subject to arbitration shall be the state and federal courts located in Delaware, and both parties waive any objection to jurisdiction and venue in such courts.

Disputes related to intellectual property shall be resolved through binding arbitration per the rules of a recognized arbitration association. Both parties waive the right to jury trial or class action.

19. Modifications & Interruptions

We reserve the right to modify, suspend, or discontinue the Services at any time. We are not liable for downtime or interruptions.

20. Governing Law

These Terms are governed by the laws of Delaware, subject to the Dispute Resolution section above.

21. Miscellaneous

If any provision is deemed invalid or unenforceable, that provision will be enforced to the maximum extent permissible. These Terms and our Privacy Policy constitute the entire agreement.
